We conduct a thorough analysis of financial data, organisational structure, business model, and ownership and operational dependencies. We also perform a company valuation and prepare professional investor materials, including a teaser, pitch deck/investment memorandum, and financial projections.

We ensure that all key data is well-structured and complete – which helps accelerate and de-risk the next stages of the process, such as due diligence. The result is a strong market-facing presentation of the company and a better negotiating position.

When entering the M&A market, we initiate the active investor outreach phase. We send a teaser to a carefully selected group of investors — typically private equity funds, strategic buyers, or high-net-worth individuals with a relevant investment profile.

The process is anonymous and tightly controlled — no sensitive information is disclosed until a non-disclosure agreement (NDA) has been signed.

Next, we distribute a comprehensive investment presentation or memorandum to selected investors, providing them with a deep understanding of the company. This process helps us narrow down the list to a few high-potential buyers, with whom we proceed to advanced negotiations.

We organise meetings with carefully selected potential investors, during which we present the company, address their questions, and provide additional data.

We support our clients in preparing for these meetings, developing conversation scenarios, and handling challenging questions. This stage leads to the submission of non-binding offers (NBOs) by interested investors, followed by negotiations and the signing of Letters of Intent (LOIs).

On the client’s side, we manage the due diligence process, including the delivery of extended data and coordination of the Virtual Data Room (VDR).

Effective deal closing and investor engagement


The closing phase is the culmination of the entire M&A process. Once due diligence is completed successfully, investors submit binding offers, which we review and analyze together with the client.

We lead the negotiation of key terms in the Share Purchase Agreement (SPA), including deal structure, earn-out mechanisms, management retention, and succession planning.

We also coordinate all advisors involved in the transaction—legal, tax, and banking—ensuring security, efficiency, and strategic alignment throughout the process. Closing includes signing the documents, final settlement, and continued post-closing support where needed.

We prepared a full package of materials, including a teaser, financial model, and investment presentation, which formed the basis for starting the negotiation process. Thanks to our analysis and optimization of the transaction terms, the company’s valuation was significantly increased compared to the initial offer. Enterium was also responsible for coordinating and executing the full due diligence (financial, tax, legal) and supporting the owners throughout the negotiation process.

A key element of the project was not only improving the company’s value but also ensuring a safe and smoothly executed investment process for the owners. Ultimately, the transaction was concluded on significantly better terms than originally anticipated.

Our role:

Enterium acted as the exclusive transaction advisor to the owners of the METKOM Group in the sale of the company to Takoni. The METKOM Group companies specialize in providing solutions for pipeline construction, with a combined EBITDA of PLN 35 million in 2023. Enterium was responsible for preparing sales materials, negotiating the valuation and transaction structure, coordinating the due diligence process, and advising on the preparation of transaction documentation.

Our role:
