When entering the M&A market, we initiate the active investor outreach phase. We send a teaser to a carefully selected group of investors — typically private equity funds, strategic buyers, or high-net-worth individuals with a relevant investment profile.
The process is anonymous and tightly controlled — no sensitive information is disclosed until a non-disclosure agreement (NDA) has been signed.
Next, we distribute a comprehensive investment presentation or memorandum to selected investors, providing them with a deep understanding of the company. This process helps us narrow down the list to a few high-potential buyers, with whom we proceed to advanced negotiations.

The closing phase is the culmination of the entire M&A process. Once due diligence is completed successfully, investors submit binding offers, which we review and analyze together with the client.
We lead the negotiation of key terms in the Share Purchase Agreement (SPA), including deal structure, earn-out mechanisms, management retention, and succession planning.
We also coordinate all advisors involved in the transaction—legal, tax, and banking—ensuring security, efficiency, and strategic alignment throughout the process. Closing includes signing the documents, final settlement, and continued post-closing support where needed.
